Terms of Service

1. Parties
These Terms govern all services provided by AITG Sdn Bhd (202601016521 / 1678618-W), operating as AIApp ("Studio"), to clients ("Client"). By engaging our services you agree to these Terms.
2. Scope of services
The Studio will deliver mobile application design, development, and launch services as described in a separately executed Statement of Work (SOW) or Project Proposal. The SOW governs deliverables, timelines, and payment milestones.
3. Payment
Payment is structured by milestone as defined in the SOW. Invoices are payable within 7 business days of issuance. Late payments accrue interest at 1.5% per month. The Studio may suspend work if an invoice remains unpaid for more than 14 days.
4. Intellectual property
Upon receipt of full payment, the Client owns all custom code, designs, and assets created specifically for the project. The Studio retains ownership of pre-existing tools, libraries, and frameworks incorporated into the deliverables, and grants the Client a perpetual, royalty-free licence to use them.
5. Confidentiality
Both parties agree to keep confidential all non-public information exchanged during the project. This obligation survives termination for 3 years.
6. Warranties & limitation of liability
The Studio warrants that deliverables will materially conform to the SOW. The Studio's total liability is limited to the total fees paid by the Client in the 3 months preceding the claim. The Studio is not liable for indirect, consequential, or incidental damages.
7. Termination
Either party may terminate by giving 14 days written notice. On termination, the Client pays for all work completed to date. The Studio will deliver all completed work product upon receipt of outstanding amounts.
8. Governing law
These Terms are governed by the laws of Malaysia. Any disputes shall be resolved by the courts of Kuala Lumpur.
